📄 Վաճառքի Ընդհանուր Պայմաններ
1․ Ընդհանուր Պայմաններ
Հաճախորդը բացահայտ կերպով հրաժարվում է իր սեփական պայմանների կիրառումից՝ անկախ նրանից, թե դրանք հաստատվել են այս պայմաններից հետո։ Ցանկացած շեղում այս պայմաններից ուժի մեջ է միայն այն դեպքում, եթե նախապես գրավոր կերպով հաստատված է Luckyboy.am-ի կողմից։
2․ Վճարման Պայմաններ
Moonlight Surprise LLC-ի կողմից ներկայացված հաշիվները ենթակա են վճարման 15 աշխատանքային օրվա ընթացքում, եթե հաշվում կամ պատվերում այլ ժամկետ նշված չէ։ Վճարման ուշացման դեպքում Moonlight Surprise LLC-ն իրավունք ունի կիրառել 10% ֆիքսված տույժ՝ չվճարված գումարի նկատմամբ։ Բացի այդ, Moonlight Surprise LLC-ն կարող է **դադարեցնել ծառայությունների մատուցումը** առանց նախազգուշացման։
Եթե վճարումը չկատարվի **60 օրից** ավելի ժամկետում, Moonlight Surprise LLC-ն կարող է դիմել **պարտքի գանձման գործակալությանը**՝ գումարի գանձման նպատակով։ Հաճախորդը ամբողջությամբ պատասխանատու է բոլոր իրավաբանական ծախսերի և գանձման հետ կապված վճարների համար։
3․ Հարկի Պահում (Withholding Tax)
Որոշ երկրներում կիրառվում է **հարկի պահում**՝ տեղական օրենսդրության համաձայն։ Այդ հարկը ամբողջությամբ կրում է հաճախորդը, ով պարտավոր է վճարել համապատասխան գումարը իր երկրի հարկային մարմիններին։ Moonlight Surprise LLC-ն **չի կրում պատասխանատվություն** հաճախորդի երկրում կիրառվող որևէ պահման, հարկի կամ ծախսի համար։ Հաշվով նշված ամբողջ գումարը ենթակա է վճարման՝ առանց բացառության։
4․ Ծառայությունների Կատարման և Պատասխանատվություն
Moonlight Surprise LLC-ն պարտավորվում է մատուցել **բարձրորակ ծառայություններ**՝ համաձայնեցված ժամկետներում։ Սակայն բոլոր պարտավորությունները համարվում են **լավագույն ջանքերի** հիման վրա և չեն հանդիսանում կոնկրետ արդյունքի երաշխիք։ Moonlight Surprise LLC-ն **չի կարող հանդես գալ որպես երրորդ կողմ**՝ հաճախորդի դեմ ներկայացված պահանջներում կամ վնասների հայցերում։
5․ Պահանջներ և Վեճեր
Ստացված ապրանքների կամ ծառայությունների վերաբերյալ ցանկացած **պահանջ կամ բողոք** պետք է ներկայացվի Moonlight Surprise LLC-ին **գրանցված փոստով գրավոր ձևով**, ընկերության պաշտոնական հասցեին՝ **առաքումից ութ (8) օրվա** ընթացքում։
6․ Կիրառվող Օրենսդրություն և Իրավասություն
Բոլոր պայմանագրային հարաբերությունները և վեճերը, որոնք ծագում են Moonlight Surprise LLC հետ գործարքներից, կարգավորվում են **բացառապես Հայաստանի օրենսդրությամբ**։
General Terms and Conditions of Sale
1. Standard Terms and Conditions
The client expressly waives the application of its own standard terms and conditions, regardless of whether they were established after these terms. Any deviation from these conditions shall only be valid if expressly agreed to in writing by Luckyboy.am in advance.
2. Payment Terms
Invoices issued by Moonlight Surprise LLC are payable within 15 working days, unless an alternative payment timeframe is explicitly stated on the invoice or order. In the event of late payment, Moonlight Surprise LLC reserves the right to impose a fixed interest charge of 10% on the outstanding balance. Furthermore, Moonlight Surprise LLC may **suspend any services** without prior notice in case of delayed payment.
Should a payment remain outstanding **beyond 60 days** from the due date, Moonlight Surprise LLC may engage a **debt recovery agency** to pursue the outstanding balance. The client shall be fully responsible for all associated legal fees and collection expenses.
3. Withholding Tax
Certain jurisdictions impose **withholding tax** on invoices in accordance with their local legislation. Any such tax shall be solely borne by the client, who is responsible for remitting the required amount to its local tax authorities. Moonlight Surprise LLC shall **not be liable** for any deductions, taxes, or costs imposed by the client’s country of operation. The full invoiced amount remains payable to Moonlight Surprise LLC without exception.
4. Service Performance and Liability
Moonlight Surprise LLC commits to delivering **high-quality services** within agreed timeframes. However, all obligations undertaken by Moonlight Surprise LLC shall be classified as **best-effort obligations** rather than guarantees of specific outcomes. Under no circumstances shall Moonlight Surprise LLC be required to appear as a **third party** in disputes or claims for damages filed against the client by an end consumer.
5. Claims and Disputes
To be admissible, any **claim or complaint** regarding the delivered goods or services must be formally submitted to Moonlight Surprise LLC **in writing via registered mail** to its official registered address **within eight (8) days** of delivery.
6. Governing Law and Jurisdiction
All contractual relations and disputes arising from transactions with Moonlight Surprise LLC shall be governed **exclusively by Armenian law**.
